GENERAL TERMS AND CONDITIONS FOR SELLERS #

1. Introduction #

These General Terms and Conditions (“Terms”) govern the use of the MT Connect (“Platform”) by Sellers. By listing and selling content on the Platform, Sellers agree to comply with these Terms.

2. Role of the Platform #

The MT Connect operates as a broker, facilitating transactions between Buyers and Sellers. The Platform does not own or take responsibility for the content traded but ensures the proper execution of transactions, including invoicing and payments.

3. Account Registration and Use #

  • Sellers must create an account to list and sell content on the Platform.
  • Sellers are responsible for maintaining the confidentiality of their account credentials.
  • Sellers must ensure and confirm on a regular basis and upon request that the content they sell complies with copyright and intellectual property laws.

4. Listing and Selling Process #

  • Sellers list content on the Platform, specifying pricing and licensing terms.
  • Buyers purchase content through the Platform under the terms set by the Seller.
  • The Platform facilitates invoicing and payments on behalf of the Seller.

5. Payments and Payouts #

  • The Platform invoices Buyers on the first week day of each month for all purchases made in the previous month.
  • Payments to Sellers are processed on the last week day of each month for sales made in the preceding month (i.e., with a one-month delay). 60 days.
  • The Platform deducts applicable commissions and fees before issuing payouts to Sellers.

6. Fees and Commission #

  • The Platform charges a commission on each transaction, deducted from the seller’s payout.
  • The commission rate is specified separately and may be subject to change with prior notice.

7. Content Rights and Responsibilities #

  • Sellers confirm that they have the legal rights to sell the content listed on the Platform.
  • Sellers grant Buyers the right to use purchased content in accordance with the specified licensing terms.
  • The Platform is not liable for any copyright infringement claims related to content listed by Sellers.

8. Dispute Resolution #

Sellers are responsible for handling any disputes regarding their content. The Platform may assist in resolving disputes but is not liable for transaction-related claims nor claims from third parties in relation to the transactions.

9. Termination and Suspension #

  • The Platform reserves the right to suspend or terminate seller accounts that violate these Terms.
  • Sellers may terminate their account at any time with a notice period of current month + 3 months (calendar), but outstanding obligations must still be met.

10. Limitation of Liability #

The Platform is not responsible for the accuracy, legality, or quality of listed content. The Platform is not liable for any indirect or consequential damages arising from the use of the service.

11. Governing Law and Jurisdiction #

These Terms are governed by the laws of Singapore. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Singapore.

12. Amendments #

The Platform reserves the right to modify these Terms at any time. Continued use of the Platform after amendments constitutes acceptance of the new Terms.
