GENERAL TERMS AND CONDITIONS FOR BUYERS #

1. Introduction #

These General Terms and Conditions (“Terms”) govern the use of the MT Connect (“Platform”) by buyers. By using the Platform to purchase content, buyers agree to comply with these Terms.

2. Role of the Platform #

MT Connect operates as a broker facilitating transactions between buyers and sellers. The Platform does not own or guarantee the content traded but ensures the proper execution of transactions, including invoicing and payments.

3. Account Registration and Use #

  • Buyers must create an account to purchase content through the Platform.
  • Buyers are responsible for maintaining the confidentiality of their account credentials.
  • Buyers agree to comply with copyright and intellectual property laws when using purchased content.

4. Purchasing Process #

  • Buyers can browse and purchase content listed by sellers in the MT Connect.
  • When a Buyer purchases content, they accept the Seller’s licensing terms as specified on the Platform.
  • The Platform will issue an invoice for the purchased content.
  • The minimum purchasing period for each order is running month + 3 months.

5. Invoicing and Payments #

  • The Platform invoices Buyers on the first day of each month for all purchases made in the previous month.
  • Buyers must settle invoices within 10 days from the invoice date.
  • The penalty for late payment is 100 EUR per week (starting Monday).
  • The Platform charges a commission on each transaction.
  • Failure to pay within the due period may result in suspension or termination of the buyer’s account.

6. Content Use and Licensing #

Buyers may only use purchased content as specified in the licensing terms set by the seller. Unauthorized distribution, resale, or modification of purchased content may lead to legal consequences.

7. Dispute Resolution #

Buyers must raise any disputes regarding content quality or licensing with the seller directly. The Platform may assist in dispute resolution but does not assume liability for content-related disputes.

8. Termination and Suspension #

  • The Platform reserves the right to suspend or terminate accounts that violate these Terms.
  • Buyers may terminate their account at any time, but outstanding payments must still be fulfilled.

9. Limitation of Liability #

The Platform is not responsible for the accuracy, legality, or quality of purchased content. The Platform is not liable for any indirect or consequential damages arising from the use of the service.

10. Governing Law and Jurisdiction #

These Terms are governed by the laws of Singapore. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Singapore.

11. Amendments #

The Platform reserves the right to modify these Terms at any time. Continued use of the Platform after amendments constitutes acceptance of the new Terms.
